Evans Analytical Group Completes Acquisition of DSL Labs, Inc.

Dublin, Ireland

Evans Analytical Group ("EAG"), a leading global provider of materials characterization and microelectronic failure analysis ("FA") and "release to production" ("RTP") services, announced that it has acquired DSL Labs Inc. ("DSL").

Founded in 2003, DSL is a leading provider of microelectronics "release to production" services, including automated testing, reliability and qualification testing, failure analysis and probe card design. DSL also provides complementary test engineering services, such as test program development, program conversion and optimization, wafer sort and final test production. In addition, DSL is a major provider of reliability and qualification testing services, helping fabless semiconductor companies ensure proper integrated circuit design, package assembly and device integrity by performing electrical stress, thermal stress and mechanical stress tests to identify the occurrence of failures and their severity. DSL has 80 employees and is located in Fremont and San Diego, California.

David Lahar, Executive Chairman of EAG, said, "The acquisition of DSL is a further step towards achieving EAG's strategic plan of becoming the leading supplier of an integrated package of RTP services. The acquisition of DSL establishes EAG as the largest company in the worldwide RTP/FA industry, significantly expanding the range of testing services that we can provide to the semiconductor and electronics industry. DSL allows EAG to expand into automated test services and significantly enhances EAG's position in the qualification and reliability testing services market. Furthermore, DSL's capabilities directly complement the services provided by EAG's AMER, Accurel and MEFAS operations, which will lead to important cross-selling opportunities. We continue to focus on building the leading global provider of RTP/FA services and expect to announce further acquisitions in this area before the end of the fiscal year."

DSL's CEO John Keyashian added: "We are excited by EAG's commitment to building a global leadership position in RTP/FA services, offering the complete range of testing, failure analysis and reliability/qualification services. I look forward to the opportunity to join the EAG management team and leverage the capabilities of the other EAG operations as well as their worldwide network. Our customers - both fabless semiconductor companies and their foundry partners - have clearly indicated that they are seeking a single supplier solution. The combination of DSL, Accurel, AMER and MEFAS meets these customer needs and offers companies a single, well-capitalized supplier of the full range of failure analysis and reliability testing services on a worldwide basis."
