Ageas organises Extraordinary General Shareholders' Meetings

Ageas is organising an Extraordinary General Shareholders' Meeting in Utrecht on 23 March and in Brussels on 30 March.

 

With a view to these Extraordinary General Meetings, the following documents will be published on Wednesday, 9 February on the Ageas website, www.ageas.com:

 

·       the convening notice, the specimen proxy form and the agenda of the Extraordinary General Shareholders' Meeting of ageas SA/NV and of ageas N.V.;
·       the explanatory notes on the agendas of ageas N.V. and ageas SA/NV, the explanatory note of ageas N.V. including the full agenda for the meeting, and
·       the special report from the Board of Directors of ageas SA/NV drawn up in accordance with Article 604 of the Companies Code.

 

Shareholders will only be admitted to and will only be able to vote at the Meetings if, on the Registration Date, they hold the number of shares for which they have indicated their intention to exercise their right to vote at the Meeting, irrespective of the number of shares they hold on the date of the Meeting.

 

This Registration Date is set on:

 

·       23 February 2011 at midnight (CET) for ageas N.V., in accordance with the new Dutch law;
·       21 March 2011 at midnight (CET) for ageas SA/NV, in accordance with the possibility offered to the Board of Directors in this respect by Article 21 c) of the company's articles of association.

 

Thanks to the use of the Registration Date, the principle of freezing shares until the day the meeting is held can be abolished.
